1. Legal Notice and Statement of Operating Authority

This Legal Notice establishes the legal, regulatory and operational framework under which Neon Sports conducts its digital sports distribution, audiovisual transmission, internet-based broadcasting and televised sports content services, with Jersey serving as its principal jurisdiction of reference.

Neon Sports operates as a digital sports media and distribution platform intended to facilitate the lawful acquisition, provision, transmission, communication, distribution and presentation of live and recorded sporting content through internet-connected devices, digital broadcasting infrastructure, television-compatible platforms and other authorised audiovisual distribution technologies.

The company's activities are intended to be conducted in accordance with applicable legislation and intellectual property protections, including the Intellectual Property (Jersey) Law 2011 and the Broadcasting (Jersey) Order 2003, together with all other relevant statutory provisions, regulatory requirements, contractual obligations and international intellectual property protections applicable to the distribution of sporting content.

This framework encompasses the provision of sporting broadcasts, live event coverage, scheduled programming, digital streaming services, audiovisual transmissions and associated content made available through the Neon Sports platform.

The operation of any particular broadcasting or retransmission service remains conditional upon the existence of all necessary statutory permissions, broadcasting authorisations and contractual distribution rights.

2. Intellectual Property and Broadcasting Rights

Neon Sports recognises the legal protection afforded to broadcasting organisations, copyright owners, audiovisual producers, sporting organisations, event organisers and other relevant intellectual property rights holders.

In accordance with the applicable provisions of the Intellectual Property (Jersey) Law 2011, the company acknowledges the importance of protecting copyright works, broadcast transmissions, recordings, performances and associated intellectual property interests.

Neon Sports shall undertake the distribution, communication, reproduction, retransmission or commercial exploitation of sporting audiovisual material only where the necessary rights, permissions, authorisations or other lawful entitlements have been secured.

Subject to the scope of the relevant rights agreements, the company's intended distribution activities may include:

  • Live sporting event broadcasts.
  • Recorded and delayed sporting transmissions.
  • Internet-based sports streaming.
  • Digital television and IPTV distribution.
  • Authorised retransmission of sporting broadcasts.
  • On-demand sporting audiovisual content.
  • Subscription-based sports distribution.
  • Licensed commercial sports programming.
  • Digital audiovisual content delivery.

All distribution activities shall remain subject to the ownership, licensing conditions, geographical limitations and contractual restrictions applicable to the relevant sporting content.

3. Broadcasting and Digital Distribution Framework

The Broadcasting (Jersey) Order 2003 forms part of the legislative framework relevant to broadcasting activities within the Bailiwick of Jersey.

Neon Sports intends to structure its television and digital distribution activities with regard to the applicable broadcasting provisions, including any relevant requirements concerning television services, digital programme services, transmission and regulatory authorisation.

The company's intended technical distribution infrastructure may incorporate:

  • Internet Protocol Television (IPTV).
  • Web-based live sports streaming.
  • Digital television-compatible services.
  • Mobile and tablet streaming applications.
  • Desktop and browser-based streaming.
  • Connected television applications.
  • Scheduled sports broadcasting.
  • Authorised live and recorded audiovisual transmissions.

Where any particular service falls within a regulated broadcasting category, Neon Sports shall be responsible for obtaining the necessary regulatory authorisations before undertaking that activity.

4. Territorial Distribution and Monthly Subscription Access

Neon Sports operates a geographically controlled subscription distribution structure designed to distinguish standard monthly subscription access from the separate access privileges associated with ownership of the Limited Edition Neon Sports NFT Collection.

Standard monthly paying subscribers shall be geographically restricted to the following authorised subscription territories:

Permitted monthly subscription territories:

  • United Kingdom.
  • Republic of Ireland.
  • Channel Islands, including Jersey and Guernsey.

Monthly subscription access shall be subject to geographical verification and appropriate location-based access controls, including IP address verification and other technical geographical identification mechanisms where necessary.

Subscribers accessing the platform through a standard monthly paid subscription shall only be permitted to view content within the geographical territories for which the relevant distribution rights and permissions have been obtained.

Access attempts originating outside the authorised monthly subscription territories may be restricted, suspended or declined through the platform's geographical access-control infrastructure.

The geographical restrictions applicable to monthly subscribers are intended to ensure that standard subscription distribution remains consistent with the territorial scope of the relevant broadcasting and content distribution agreements.

5. Limited Edition Neon Sports NFT Collection — Worldwide Access Privileges

Neon Sports recognises a separate digital membership and content-access classification for verified holders of its Limited Edition Neon Sports NFT Collection.

Unlike standard monthly paying subscribers, eligible holders of an officially recognised Limited Edition Neon Sports NFT shall be entitled to the NFT-holder access category, which is designed to provide worldwide geographical access to the Neon Sports digital streaming platform.

Subject to the applicable content rights and international distribution permissions, verified NFT holders shall not be subject to the standard geographical restrictions imposed upon monthly subscription accounts.

Accordingly, eligible NFT holders may access and view available Neon Sports streaming content from any geographical location worldwide, without being restricted to the United Kingdom, Republic of Ireland or Channel Islands subscription territories.

This enhanced access arrangement is linked directly to verified ownership of an eligible Limited Edition Neon Sports NFT and shall remain available for the duration of the holder's qualifying ownership.

The following conditions shall apply:

5.1 Ownership verification

Access shall be granted following successful verification of ownership of an eligible Neon Sports NFT through the platform's designated wallet authentication or blockchain verification mechanism.

5.2 Duration of entitlement

NFT-holder access privileges shall remain active for as long as the individual maintains verified ownership of an eligible NFT within the designated collection.

5.3 Transfer of ownership

Where an eligible NFT is transferred, sold or otherwise disposed of, the previous owner's NFT-based access entitlement shall cease following confirmation of the ownership change. The new verified owner may qualify for the associated access privileges.

5.4 Geographical access

NFT-holder accounts shall not be subject to the standard geographical access restrictions imposed on monthly subscription accounts, provided the relevant sporting content is legally available for worldwide distribution.

5.5 Content availability

The worldwide access provision applies to the Neon Sports platform and its eligible content catalogue. Individual sporting events, broadcasts or third-party audiovisual materials may remain subject to separate territorial licensing restrictions, rights-holder conditions or regulatory limitations.

5.6 No additional monthly subscription requirement

Where expressly provided under the Neon Sports NFT membership terms, qualifying NFT holders shall be able to access the designated NFT-holder streaming service through verified ownership without being required to maintain a standard monthly paid subscription.

NFT ownership does not, in itself, transfer ownership of sporting broadcasts, copyright material or third-party intellectual property, nor does it confer permission to reproduce, redistribute or commercially retransmit platform content.

6. Distinction Between Monthly Subscribers and NFT Holders

For the avoidance of doubt, Neon Sports maintains two distinct geographical access classifications.

Access classificationGeographical availability
Standard monthly subscribersUK, Republic of Ireland and Channel Islands
Verified Limited Edition Neon Sports NFT holdersWorldwide, subject to applicable content rights

The above distinction concerns access to the Neon Sports platform and its relevant content catalogue. It does not override mandatory broadcasting restrictions, third-party territorial rights or applicable laws in the country from which a viewer accesses the service.

Neon Sports reserves the right to implement different authentication, verification and access-control procedures for each membership classification.

7. International Digital Distribution

Neon Sports intends to make its authorised digital sports services available through internet-based infrastructure capable of supporting international content delivery.

International availability shall be determined by the geographical scope of the relevant broadcasting licences, distribution agreements, content ownership arrangements and applicable local legal requirements.

Where worldwide distribution rights have been obtained, the company may make the relevant sporting content available to qualifying NFT holders and other appropriately authorised users internationally.

Where individual content rights are geographically restricted, Neon Sports shall apply the necessary technical and operational restrictions notwithstanding any wider platform membership entitlement.

The company may employ geographical access management, account authentication, blockchain ownership verification, subscriber validation and other appropriate technical safeguards to administer its international distribution arrangements.

8. Content Ownership and Third-Party Rights

All sporting content, broadcasts, recordings, television feeds, audiovisual productions, trademarks, logos and associated intellectual property shall remain the property of their respective owners unless otherwise expressly agreed through a valid written assignment or licensing arrangement.

Neon Sports shall not claim ownership of third-party sporting events or broadcasting material merely by virtue of making such content accessible through its platform.

Any third-party content distributed through Neon Sports shall be subject to the applicable licensing arrangements and rights-holder permissions.

Nothing contained within this Legal Notice shall be interpreted as authorising the unauthorised copying, recording, public communication, retransmission, sublicensing or commercial exploitation of protected sporting content.

9. Subscription, NFT Membership and Access Management

Neon Sports may operate separate subscription and blockchain-based membership systems to distinguish standard paying subscribers from eligible NFT holders.

The company may utilise digital account registration, payment verification, blockchain wallet authentication, smart-contract verification and other technological measures to establish the eligibility of individual users.

The platform may suspend or revoke access where:

  • Monthly subscription payments have expired or been cancelled.
  • NFT ownership can no longer be verified.
  • An NFT has been transferred outside the qualifying collection.
  • An account has been associated with fraudulent activity.
  • A user has breached the platform's applicable terms.
  • Continued access would breach applicable broadcasting rights or legal restrictions.

Such measures are intended to protect the integrity of the Neon Sports distribution platform and ensure that access privileges remain consistent with the relevant membership and licensing conditions.

10. Regulatory Compliance and Legal Responsibilities

Neon Sports shall seek to ensure that its operations comply with the applicable statutory and regulatory framework governing the distribution of audiovisual and sporting content.

This includes, where applicable:

  • Intellectual property and copyright legislation.
  • Broadcasting and communications legislation.
  • Territorial distribution and retransmission requirements.
  • Consumer protection obligations.
  • Applicable data protection requirements.
  • Digital subscription and payment regulations.
  • Relevant international broadcasting restrictions.
  • Contractual obligations owed to sporting rights holders.

The company shall maintain appropriate records of relevant distribution agreements, content permissions and authorisations where required.

11. Protection, Enforcement and Reserved Rights

Neon Sports reserves all rights and remedies available under applicable law in relation to the protection of its original content, platform branding, proprietary digital materials, membership systems and associated intellectual property.

Unauthorised access, copying, retransmission, redistribution or commercial exploitation of protected Neon Sports content may result in account suspension, termination of access or appropriate legal action, subject to applicable law.

The company further reserves the right to modify its distribution infrastructure, access classifications, geographical controls and membership arrangements where reasonably necessary to comply with changes in legislation, regulatory requirements or third-party licensing agreements.

12. Limitation and Scope of This Legal Notice

This Legal Notice describes the intended legal, operational and distribution framework of Neon Sports.

References to the Intellectual Property (Jersey) Law 2011 and Broadcasting (Jersey) Order 2003 identify relevant elements of the Jersey legal framework and shall not be interpreted as an assertion that either enactment independently grants Neon Sports a statutory broadcasting licence, government-issued approval or ownership of third-party sporting rights.

Neon Sports shall only undertake activities for which the necessary statutory permissions, broadcasting authorisations, content licences and territorial distribution rights have been obtained.

The availability of the platform in a particular jurisdiction shall not constitute a representation that every sporting event or broadcast is licensed for distribution in that jurisdiction.

13. Governing Law and Jurisdiction

This Legal Notice shall be interpreted in accordance with the applicable laws of the Bailiwick of Jersey insofar as those laws govern the relevant activities and relationships.

Where services are provided to users in other territories, mandatory local legislation, consumer protection provisions, intellectual property requirements and applicable broadcasting regulations may also apply.

Any dispute shall be referred to the competent courts or dispute resolution mechanisms having jurisdiction under the applicable law and contractual arrangements.

14. Formal Corporate Declaration

Neon Sports establishes this Legal Notice as its formal statement of the intended legal and operational framework governing the provision of digital sports distribution, internet-based broadcasting, IPTV services and authorised televised sporting content.

The company intends to provide a structured sports media distribution service operating within the applicable Jersey legal framework and extending its digital availability to other authorised international territories.

The Neon Sports distribution model incorporates two distinct access classifications: geographically restricted monthly subscription access covering the United Kingdom, Republic of Ireland and Channel Islands, and a separate worldwide geographical access provision for verified holders of the Limited Edition Neon Sports NFT Collection, subject in both cases to the applicable rights and legal permissions.

Neon Sports shall conduct its activities subject to the necessary broadcasting permissions, intellectual property protections, contractual distribution rights and regulatory requirements applicable to its operations.
